PA DOS Annual Report and BOI Report Filing Alert

Business and nonprofit entities, foreign associations registered to do business in the Commonwealth and domestic business trusts must file an annual report beginning in the calendar year 2025. The annual report is filed with Pennsylvania Department of State (“PA DOS”) and may be submitted electronically. The annual report requires the filer to supply its current name, jurisdiction of formation, the address of its registered office, the name of at least one governor, the name and title of all persons who are principal officers of the filer, the address of its principal office and its entity number or similar identifier issued by the PA DOS.

In addition to the PA DOS annual report, reporting companies formed before January 1, 2024 must also file a BOI report by January 1, 2025 pursuant to the Corporate Transparency Act (“CTA”). Reporting companies must disclose with this filing both the people who form those companies and the people who own or control a substantial portion of the company to the U.S. Treasury Department’s Financial Crimes Enforcement Network (FinCEN).
