NOTICE: FINAL ANNUAL REPORT DEADLINE IS TODAY, DECEMBER 31, 2025

The Pennsylvania Department of State Bureau of Corporations and Charitable Organizations (“Corporations Bureau”) has begun requiring the submission of an annual report by most business entities in 2025. The deadlines to file those annual reports for domestic and foreign corporations and limited liability companies have passed. Limited partnerships (including limited liability limited partnerships), limited liability general partnerships, business trusts and professional associations (domestic and foreign) as well as domestic electing partnerships that are not limited partnerships must complete and file an annual report no later than today, December 31, 2025. To complete the annual report, the representative must collect and report the entity name as it appears with the Corporations Bureau, the address of its registered office, the name of at least one governor, the names and titles of the persons who are its principal officers (if any), the address of its principal office, and its entity number. In addition, each filer with a for-profit purpose must pay a $7 filing fee upon submission of the annual report. Associations with a not-for-profit purpose will not be charged a filing fee. The authorized representative may file the annual report electronically via the Pennsylvania Department of State’s website. Paper forms will not be expedited.
