NOTICE: June 30th Annual Report Deadline for Corporations Soon Approaching

Beginning 2025, the Pennsylvania Department of State Bureau of Corporations and Charitable Organizations requires most filing entities to complete and submit an annual report. Reporting Domestic and foreign business and nonprofit corporations must file the first annual report with the Corporations Bureau on or before Monday, June 30, 2025. Administrative dissolution/termination/cancellation of the reporting entity will ultimately result if noncompliance occurs.

To complete the annual report, the corporation’s appointed representative must collect the correct entity name as it appears with the Corporations Bureau, the address of its registered office, the name of at least one governor (for example, a director of the corporation), the names and titles of the persons who are its principal officers, the address of its principal office, and its entity number. In addition, each for-profit Corporation filer must ensure the $7 filing fee is paid upon submission of the annual report. Nonprofit Corporations are not charged this fee.

This report may filed electronically. In fact, the Corporations Bureau strongly urges filers to complete these reports electronically to ensure accurate and timely processing. If you need assistance with making this annual report filing, reach out to GKH Corporate Practice Group Attorneys.

Please note the next annual report filing deadline applicable to domestic and foreign Limited Liability Companies is September 30, 2025.
